X Terminal — Terms of Service, End-User License Agreement & Privacy Policy
This single document combines our End-User License Agreement (EULA), Terms of Service, Acceptable Use Policy, and Privacy Policy. Please read all of it. By checking the box and clicking Accept when you install or first open the App, you agree to everything below. If you do not agree, do not install or use the App.
Part 0 — Agreement
This is a binding agreement between you and Happy Moose Apps Inc. You accept it by checking the acceptance box and clicking Accept in the App, or by downloading, installing, or using the App. You must be at least 18 years old and able to enter into a contract. If you accept on behalf of a company, you confirm you are authorized to bind that company.
We may update this agreement from time to time. When we make a material change, we will update the version and effective date above and ask you to accept the new version inside the App before you continue using it. Your continued use after an update means you accept the updated terms. The current version always lives at the URL where this document is published and inside the App.
Part 1 — End-User License Agreement (License)
1.1 License grant. Subject to this agreement, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use one copy of the App on Mac computers that you own or control, for your own lead generation and outreach.
1.2 What you may not do. You may not, and may not allow anyone else to: (a) copy, resell, rent, lease, sublicense, distribute, or commercially exploit the App; (b) reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the limited extent that applicable law expressly permits despite this limitation; (c) remove or alter any proprietary notices; (d) use the App to build a competing product; or (e) circumvent, disable, or interfere with any licensing, security, or rate-limiting feature.
1.3 Ownership. The App, its design, and all related intellectual property are and remain owned by Happy Moose Apps Inc. and its licensors. This agreement grants you a license, not a sale. All rights not expressly granted are reserved.
1.4 Your content. You own the monitors, searches, drafts, notes, voice profiles, and other content you create in the App ("Your Content"). We claim no ownership of Your Content. Most of it never leaves your Mac (see the Privacy Policy). Where a feature you choose to use sends content to a service provider on your behalf, you grant us the limited right to transmit and process it solely to provide that feature to you.
1.5 Updates. The App can check for and install updates (via Sparkle). Updates may add, change, or remove features. This agreement governs all updates unless an update ships with its own terms.
1.6 Open-source components. The App may include third-party open-source software, which is licensed to you under its own license terms; those terms control for those components to the extent they conflict with this agreement.
Part 2 — Terms of Service
2.1 What the App does. X Terminal helps you find relevant public posts on X (formerly Twitter) and draft replies to them. Searching and retrieval run locally on your Mac through your own installation of the Grok CLI and your own X session. We do not operate a server that scrapes, retrieves, or stores posts on your behalf.
2.2 Dependence on Grok CLI and X; you provide your own access. X Terminal is built on top of tools and platforms we do not own or control — in particular the Grok CLI (provided by xAI) and the X platform (formerly Twitter). The App's core ability to find posts depends entirely on the Grok CLI running on your Mac and on X remaining accessible through it. You provide and control those tools and your own accounts, and your use of them is governed by their terms, not ours. You are responsible for complying with the terms of X, xAI/Grok, and any other service you connect, including any rules about automated access, rate limits, and acceptable use. We are not responsible if a third party limits, suspends, or terminates your access.
We provide the App on a best-effort basis only. We have no control over, and are not responsible for, how the Grok CLI or X operate, change, price, rate-limit, restrict, degrade, or discontinue their functionality. If the Grok CLI changes its behavior, stops supporting search of the X platform, becomes unavailable, or is discontinued — or if X blocks, limits, or changes access — some or all of the App's features may stop working, and there may be nothing we can do about it. Any such change is outside our control and is not a defect in the App.
To the maximum extent permitted by law, we are not liable for, and you will not hold us responsible for, any loss of functionality, interruption, or inability to use the App that results from a change to, restriction of, or discontinuation of the Grok CLI, X, or any other third-party tool, platform, or service the App relies on. Such an event does not by itself entitle you to a refund except where required by law (see section 2.6), and we may modify, suspend, or discontinue any feature that depends on a third party at any time.
2.3 Subscriptions and trial. The App offers a free trial that runs locally on your Mac and does not require a card. After the trial, continued use of paid features requires a paid subscription, billed monthly (US$9.95/month) or annually (US$99/year), or at the prices shown in the App at the time of purchase. Prices may change; we will show the current price before you buy.
2.4 Payment processing. Payments are processed by Stripe. We do not see or store your full card number. Your purchase is also subject to Stripe's terms and privacy policy.
2.5 Renewal and cancellation. Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from the billing portal linked in the App; cancellation takes effect at the end of the current period, and you keep paid access until then.
2.6 Refunds. Because a free, no-card trial lets you evaluate the App before paying, fees are generally non-refundable except where required by law. If you believe you were charged in error, contact support@xterminal.app and we will work with you in good faith.
2.7 Your responsibilities. You are responsible for your use of the App, for the content of any message or reply you send, for complying with all applicable laws, and for the Acceptable Use Policy in Part 3.
2.8 Service availability. Some optional features (such as fast AI-assisted reply drafting, email lead delivery, billing, and update checks) depend on internet-connected services we or our providers operate. We do not guarantee that these services will always be available, uninterrupted, or error-free. Core local features are designed to keep working on your Mac.
2.9 Disclaimer of warranties. THE APP AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, THAT LEADS OR DRAFTS WILL BE ACCURATE OR EFFECTIVE, OR THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED. AI-GENERATED DRAFTS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR REVIEWING ANYTHING YOU SEND.
2.10 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY MOOSE APPS INC. AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE APP. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest amount permitted by law.
2.11 Indemnification. You will defend, indemnify, and hold harmless Happy Moose Apps Inc. from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the App, your content, your messages or replies, or your violation of this agreement, applicable law, or any third party's rights or terms (including those of X and xAI/Grok).
2.12 Termination. You may stop using the App at any time. We may suspend or terminate your license if you breach this agreement or use the App in a way that is harmful, abusive, or unlawful. On termination, the license in Part 1 ends and you must stop using the App; sections that by their nature should survive (ownership, disclaimers, liability limits, indemnity, governing law) survive.
2.13 Governing law and disputes. This agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia, Canada will have exclusive jurisdiction, and you consent to venue there, except where applicable law gives you the right to bring a claim in your local courts. If you are a consumer in a jurisdiction whose law guarantees you protections that cannot be waived by contract, nothing here removes those protections.
2.14 Miscellaneous. This agreement is the entire agreement between you and us about the App. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign this agreement; we may assign it to an affiliate or successor.
Part 3 — Acceptable Use Policy
The App can find people and help you write to them. Use it well. You agree that you will not use the App to:
- send spam, bulk unsolicited messages, or repetitive, automated, or deceptive outreach;
- harass, threaten, defame, stalk, or abuse anyone;
- collect, store, or contact people in violation of applicable privacy, anti-spam, or marketing laws (for example GDPR, CAN-SPAM, or local equivalents);
- violate the terms, rules, or rate limits of X, xAI/Grok, or any other platform, including rules on automated access and scraping;
- impersonate any person or organization, or misrepresent who you are;
- promote illegal goods or activities, fraud, or scams; or
- attempt to disrupt, overload, or gain unauthorized access to the App or any related service.
You are solely responsible for who you contact and what you say. We may suspend or terminate access for conduct that violates this policy, and we may decline to provide optional server-backed features (such as AI reply drafting or email delivery) to anyone we reasonably believe is misusing them.
Part 4 — Privacy Policy
4.1 Our promise, in one paragraph
X Terminal is built to keep your data on your Mac. We do not sell, rent, share, or trade your information — ever. We do not run ads, tracking, profiling, analytics, telemetry, or device fingerprinting of any kind. The posts you find on X are retrieved on your own computer through your own Grok CLI and your own X session, and they are stored only on your Mac. We never receive them, never see them, and never store them on our servers. The only information that ever reaches us is the small amount described in section 4.3 — and never the leads, posts, searches, or messages you work with.
4.2 What stays on your Mac (we never receive it)
All of the following live only in your local app storage on your Mac and are never uploaded to us:
- the posts and leads you find on X, and their engagement numbers;
- your monitors and search criteria;
- your contacts, outreach history, and notes;
- your "voice" profiles and example posts;
- your reply drafts; and
- your app settings and logs.
4.3 The only information that ever reaches us
To make licensing, payments, and a few optional features work, a small amount of information leaves your Mac. This is all of it:
- A random install ID. When you first run the App, it creates a random
identifier (for example
inst_…). It contains no name, email, or device identity. We use it only to check whether your copy has an active subscription. - Subscription status. When you subscribe, we store your install ID together with your plan and subscription status (active, canceled, period end) so the App can unlock paid features. This is held by our payment infrastructure on Cloudflare and by Stripe. We never receive or store your card number — Stripe handles payment details directly.
- Your email address — only if you ask us to. If you turn on email lead delivery or otherwise enter your email, we store it so we can send you the emails you requested. You can turn this off at any time, which removes it.
- AI-assisted reply drafting (optional). If you use the fast AI reply feature, the App sends the drafting instructions you create to our reply service, which forwards them to our AI provider (Groq) to generate a draft. The draft is returned to you and is not stored on our servers. If this service is unavailable, drafting falls back to your local Grok CLI.
- Error reports and support messages (optional). If you turn on error reporting, or contact support, the App sends technical details (an error code, the App version, your OS version, and the install ID) and any message you choose to write. These never include your leads, posts, or searches.
- Update checks. The App checks for updates from our update server. Like any web request, this exposes your IP address and the App/OS version to that server. We do not use it to track or profile you.
4.4 Service providers we use
We use a small number of reputable providers strictly to deliver the features above. They process data only on our instructions:
- Stripe — payment processing and subscription management.
- Cloudflare — hosting our licensing, reply-relay, and email endpoints, and storing the minimal subscription record keyed to your install ID.
- Groq — generating AI reply drafts from the instructions you submit (only when you use that feature).
- Resend — sending the emails you opt into and support replies.
- xAI / Grok CLI — runs on your Mac under your account to retrieve posts; this is software you control, not a service we run for you.
We do not sell or share data with anyone for advertising or any other purpose.
4.5 About the public posts you find
The App helps you find posts that are already public on X. We do not build, maintain, or sell a database of those posts or the people who wrote them; that content is retrieved locally and stored only on your Mac. You are responsible for how you use information about other people, including complying with privacy and anti-spam laws when you contact them (see Part 3).
4.6 Retention and deletion
- The random install ID and subscription record persist while your subscription exists, so we can keep verifying it; you can ask us to delete it.
- An email address you provided is kept until you remove it or ask us to delete it.
- Error reports and support messages are kept only as long as needed to help you.
- Everything stored on your Mac is removed when you delete it in the App or remove the App's data folder.
4.7 Your rights
Wherever you live, you may ask us to access, correct, or delete the limited information we hold about you, and to object to or restrict its processing. If you are in the European Economic Area or the United Kingdom, you have these rights under the GDPR/UK GDPR; our legal basis is performing our contract with you (licensing and the features you use) and our legitimate interest in operating and securing the App. If you are in California, we do not sell or share your personal information, and we will not discriminate against you for exercising your rights. If you are in Canada, you have rights under PIPEDA and applicable provincial privacy laws. To make any request, email support@xterminal.app from the address concerned; we will respond as required by applicable law.
4.8 International transfers
We are based in Canada, and we and our providers may process the limited information in section 4.3 in Canada, the United States, and other countries. Where required, we rely on appropriate safeguards for international transfers.
4.9 Children
The App is not directed to children and is intended only for users 18 and older. We do not knowingly collect information from children.
4.10 Security
We keep the information we hold to a minimum, keep secret keys on our servers (never in the App), and use reputable providers. No method of transmission or storage is perfectly secure, but a privacy-by-design, local-first architecture is our strongest protection.
4.11 Changes to this Privacy Policy
If we change how we handle information, we will update this document's version and effective date and, for material changes, ask you to accept the updated terms in the App.
